1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Seyonpetti Private Limited (“Seyonpetti,” “we,” “us,” or “our”), a company incorporated under the Companies Act, 2013, with CIN U62013TN2026PTC193726 and registered office at W32/117, Plot No C-10, 2nd Floor, 3rd Avenue, Anna Nagar, Chennai — 600040, Tamil Nadu, India.

These Terms govern your access to and use of our website (seyonpetti.com) and all software products, applications, browser extensions, APIs, and services we operate (collectively, “Services”).

By creating an account, subscribing to a product, or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

Each of our products may have supplementary terms that address product-specific features, limitations, and usage rules. In the event of conflict between these Terms and a product's supplementary terms, the supplementary terms shall prevail for that product.

2. Eligibility

You must be at least 18 years of age to use our Services. This age requirement is mandated by the Digital Personal Data Protection Act, 2023 (India). By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3. Account Registration and Security

To access most features of our Services, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately at seyonpetti@gmail.com if you suspect unauthorised access to your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Subscriptions, Trials, and Billing

4.1. Subscription Plans

Our products are offered on a subscription basis. The available plans, pricing, features, and limitations for each product are described on the respective product's pricing page.

4.2. Free Trials

We may offer free trial periods for certain products. Trial terms (duration, feature access, credit limits) are specified at the time of trial activation. During the trial, a valid payment method is required. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the plan rate you selected, and your payment method will be charged.

4.3. Merchant of Record

All payments, taxes, invoicing, and subscription management are handled by our authorised merchant of record, Dodo Payments. By subscribing to our Services, you also agree to Dodo Payments' terms of service and privacy policy.

4.4. Billing and Renewals

Subscriptions renew automatically at the end of each billing cycle (monthly or annually, as selected). You will be charged at the then-current rate for your plan. We will notify you of any price changes at least 30 days before they take effect.

4.5. Cancellations and Refunds

You may cancel your subscription at any time through the billing management portal within the product. Upon cancellation:

• Your access continues until the end of the current billing period.
• No prorated refunds are provided for partial billing periods.
• Your data remains accessible for export and deletion in accordance with our Privacy Policy and applicable data protection laws.

4.6. Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle. When downgrading, certain features may become inaccessible, but your data is preserved and remains available for export or deletion.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with these Terms. You shall not:

• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of our software, except to the extent expressly permitted by applicable law.
• Scrape, crawl, or use automated tools to access our Services in a manner that exceeds reasonable usage or circumvents rate limits and access controls.
• Upload, store, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Upload executable files, malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to our systems or other users' data.
• Use our Services to infringe upon the intellectual property rights of any third party.
• Share, transfer, or sell your account credentials to any other person or entity.
• Circumvent, disable, or interfere with any security, access control, or usage limitation features of our Services, including trial credit limits and subscription gates.
• Use our Services to send unsolicited communications (spam) or to harvest personal data of other users.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use our AI-powered features to generate content that is illegal, harmful, misleading, or violates any applicable law or regulation.

Violation of these terms may result in immediate suspension or termination of your account without prior notice.

6. User Content

6.1. Ownership

You retain all intellectual property rights to the content you create, upload, save, or import into our Services (“User Content”). We do not claim ownership over your User Content.

6.2. License Grant

By using our Services, you grant Seyonpetti a limited, non-exclusive, worldwide, royalty-free licence to process, store, transmit, and display your User Content solely for the purpose of providing and improving the Services. This licence terminates when you delete your User Content or your account.

6.3. AI Processing of User Content

Certain features of our Services use AI to process your User Content (for example, generating summaries, embeddings, or structured documents). By using these features, you authorise us to transmit relevant portions of your User Content to our AI Subprocessors for processing. We do not permit AI Subprocessors to use your User Content to train their models.

6.4. Responsibility

You are solely responsible for your User Content and for ensuring that it does not violate any applicable law or third-party rights. We do not monitor or pre-screen User Content, but we reserve the right to remove content that violates these Terms.

7. Intellectual Property

7.1. Our Property

Seyonpetti and its licensors retain all intellectual property rights in our Services, including but not limited to the software code, design, user interface, branding, trademarks (including “Seyonpetti,” “WorkPetti,” and associated logos), documentation, and proprietary algorithms. Nothing in these Terms grants you any right to use our trademarks, trade names, or logos without our prior written consent.

7.2. Feedback

If you provide us with suggestions, ideas, or feedback about our Services, you grant us a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such feedback into our Services without any obligation to you.

8. API and MCP Access

Certain products may provide programmatic access via APIs or the Model Context Protocol (MCP). Use of APIs and MCP endpoints is subject to:

• Authentication via issued tokens. Tokens must be stored securely and must not be shared publicly.
• Rate limits as specified in the product documentation. Exceeding rate limits may result in temporary or permanent access restrictions.
• All data accessed via APIs and MCP is subject to the same usage restrictions and data protection obligations as data accessed through the user interface.
• We reserve the right to modify, deprecate, or discontinue API and MCP features with reasonable prior notice.

9. Third-Party Services and Integrations

Our Services may integrate with or link to third-party services (for example, AI model providers, payment processors, browser extensions). We are not responsible for the practices, content, or availability of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

10. Service Availability and Modifications

10.1. Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or security reasons. Where possible, we will provide advance notice of planned downtime.

10.2. Modifications

We reserve the right to modify, update, or discontinue any feature or aspect of our Services at any time. If we discontinue a product or make a material change that significantly reduces functionality, we will provide at least 30 days' notice and ensure you can export your data before the change takes effect.

11. Data Portability and Deletion

In accordance with the Digital Personal Data Protection Act, 2023 (India), GDPR, and other applicable data protection laws:

• You may export your data in a standard, machine-readable format at any time, regardless of your subscription status.
• You may request deletion of your account and all associated personal data at any time, regardless of your subscription status.
• Upon account deletion, we will permanently remove your personal data within 30 days, except where retention is required by law.

These rights are never restricted by your subscription state, plan tier, or payment status.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• In no event shall Seyonpetti, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our Services, regardless of the theory of liability.
• Our total aggregate liability to you for any claims arising out of or related to these Terms or our Services shall not exceed the total amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or liability for fraud or fraudulent misrepresentation.

13. Indemnification

You agree to indemnify, defend, and hold harmless Seyonpetti, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party rights.

14. Termination

14.1. By You

You may terminate your account at any time by cancelling your subscription and requesting account deletion through the product settings or by contacting us at seyonpetti@gmail.com.

14.2. By Us

We may suspend or terminate your access to our Services immediately, without prior notice, if: (a) you breach these Terms, (b) we are required to do so by law, (c) we reasonably believe your account has been compromised, or (d) we decide to discontinue the Services (with the notice period specified in Section 10.2).

14.3. Effect of Termination

Upon termination, your right to use our Services ceases immediately. However, your right to export and delete your data survives termination for a reasonable period (at least 30 days), in accordance with our Privacy Policy and applicable data protection laws.

15. Governing Law and Dispute Resolution

15.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.2. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

16. General Provisions

16.1. Entire Agreement

These Terms, together with our Privacy Policy and any product-specific supplementary terms, constitute the entire agreement between you and Seyonpetti regarding the use of our Services, and supersede all prior agreements, understandings, and communications.

16.2. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Seyonpetti.

16.4. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5. Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or failures of third-party service providers.

All notices from us to you will be sent to the email address associated with your account. Notices from you to us should be sent to seyonpetti@gmail.com.
